Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and BBMedia Co., Ltd., operating as BetterBiz ("BetterBiz," "we," "us," or "our"), governing your access to and use of the ATLAS platform and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

ATLAS is a governance, risk, and compliance (GRC) platform designed for regulated businesses in Southeast Asia. The Service is provided as a cloud-based software-as-a-service (SaaS) solution, with on-premises deployment available under separate agreement.

The ATLAS platform comprises the following modules, which may be offered individually or as part of bundled subscription tiers:

  • Comply — Compliance engine for framework and certification management, policy authoring, control mapping, and evidence collection.
  • Sentinel — Threat intelligence module for risk register management, incident tracking, and security event monitoring.
  • Datum — Master data registry for managing organizational assets, vendors, personnel records, and other compliance-relevant data.
  • Flux — Activity and workflow module for task management, approval workflows, and document change requests.
  • Aware — Security awareness and phishing simulation module for employee training and compliance awareness programs.

The specific modules and features available to you depend on your subscription tier. BetterBiz reserves the right to modify, enhance, or discontinue features of the Service with reasonable notice, provided that such changes do not materially reduce the core functionality included in your active subscription.

3. Account Registration and Responsibilities

To use the Service, you must register an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Designate at least one authorized administrator who will manage user access and account settings.
  • Ensure that all users accessing the Service under your account comply with these Terms.
  • Promptly notify BetterBiz of any unauthorized access to or use of your account.
  • Not share account credentials or allow multiple individuals to use a single user account.
  • Maintain accurate and up-to-date contact information associated with your account.

BetterBiz is not liable for any loss or damage arising from your failure to secure your account credentials.

4. Subscription and Billing

Access to the Service requires a paid subscription. Subscriptions are billed monthly in Thai Baht (THB) unless otherwise specified in a separate order form or enterprise agreement.

Subscription Tiers

The Service is offered across tiered subscription plans, each providing different levels of access to platform modules and features. Pricing ranges from THB 50,000 to THB 500,000 per month depending on the selected tier, number of users, and scope of modules. Current pricing details are available on our website or upon request.

Payment Terms
  • Invoices are issued at the beginning of each billing period and are due within thirty (30) days of the invoice date.
  • All fees are exclusive of applicable taxes, which will be added where required by law.
  • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • BetterBiz reserves the right to suspend access to the Service if payment is overdue by more than fifteen (15) days, following written notice.
Upgrades and Downgrades

You may upgrade your subscription tier at any time, with the new pricing taking effect on the next billing cycle. Downgrades take effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Customer Data

Ownership

You retain all right, title, and interest in and to any data, documents, policies, records, and other content that you or your users upload, input, or otherwise provide to the Service ("Customer Data"). BetterBiz does not claim ownership of Customer Data.

License to Process

You grant BetterBiz a limited, non-exclusive license to access, process, store, and display Customer Data solely for the purpose of providing and improving the Service in accordance with these Terms. This license terminates when your subscription ends, subject to the data retention and export provisions below.

Data Export

You may export your Customer Data at any time during your active subscription using the export tools provided within the platform. Exported data will be provided in standard, machine-readable formats (such as CSV, JSON, or PDF). Upon termination of your subscription, you will have a data export period as described in Section 14.

Data Processing

BetterBiz processes Customer Data in accordance with applicable data protection laws, including the Thai Personal Data Protection Act (PDPA) where applicable. A separate Data Processing Agreement is available upon request for customers who require one.

6. AI-Generated Content

The Service includes AI-assisted features, including but not limited to automated policy draft generation, document analysis, and RAG-powered (Retrieval-Augmented Generation) Q&A capabilities.

Important: AI-generated content is provided as a starting point and productivity tool only. All AI-assisted outputs — including policy drafts, compliance suggestions, and answers to queries — must be reviewed, validated, and approved by qualified personnel within your organization before adoption or implementation.

You acknowledge and agree that:

  • AI-generated outputs do not constitute legal, regulatory, or professional compliance advice.
  • BetterBiz does not guarantee the accuracy, completeness, or legal sufficiency of any AI-generated content.
  • You are solely responsible for reviewing, editing, and approving all AI-generated content before use within your organization or submission to any regulatory body.
  • AI-assisted features are designed to augment — not replace — the judgment of qualified compliance, legal, and risk professionals.
  • BetterBiz shall not be liable for any consequences arising from the use of AI-generated content without adequate human review.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any illegal activity or in violation of any applicable law, regulation, or industry standard.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof.
  • Use the Service, or any data or knowledge gained from the Service, to build, improve, or contribute to a competing product or service.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks.
  • Introduce malware, viruses, or other harmful code into the Service.
  • Use the Service to store or transmit content that infringes upon the intellectual property rights of any third party.
  • Sublicense, resell, or redistribute access to the Service without prior written consent from BetterBiz.
  • Exceed any usage limits, API rate limits, or storage quotas defined in your subscription plan.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through officially provided APIs.

BetterBiz reserves the right to suspend or terminate access to the Service for any violation of this section, with or without notice depending on the severity of the violation.

8. Intellectual Property

BetterBiz Property

The Service, including all software, algorithms, user interfaces, designs, documentation, APIs, and proprietary methodologies, is and remains the exclusive property of BetterBiz and its licensors. These Terms do not transfer any ownership rights to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the subscription term.

Customer Property

As stated in Section 5, you retain all ownership rights in your Customer Data. Any policies, documents, reports, or other outputs generated through the Service using your Customer Data belong to you.

Feedback

If you provide BetterBiz with suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant BetterBiz a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

9. Confidentiality

Both parties acknowledge that they may receive or have access to confidential information belonging to the other party in connection with the Service ("Confidential Information"). Confidential Information includes, but is not limited to:

  • Customer Data, compliance documentation, audit findings, risk assessments, and security policies.
  • BetterBiz proprietary technology, business plans, pricing structures, and non-public product roadmaps.
  • Any information designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

Each party agrees to:

  • Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the disclosing party.
  • Use Confidential Information only for the purpose of performing its obligations or exercising its rights under these Terms.
  • Protect Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but no less than reasonable care.
  • Limit access to Confidential Information to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as those in these Terms.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the receiving party gives reasonable notice to allow the disclosing party to seek a protective order.

Confidentiality obligations survive for three (3) years after termination of these Terms, or for as long as the information remains a trade secret under applicable law, whichever is longer.

10. Service Availability and SLA

BetterBiz commits to using commercially reasonable efforts to maintain the availability of the Service. Our target uptime is 99.5% measured on a monthly basis, excluding scheduled maintenance windows.

Scheduled Maintenance

BetterBiz may perform scheduled maintenance that temporarily limits access to the Service. We will provide at least forty-eight (48) hours advance notice of scheduled maintenance via email or in-platform notification. Whenever possible, scheduled maintenance will be performed during off-peak hours (Saturday or Sunday, 02:00-06:00 ICT).

Unscheduled Downtime

In the event of unscheduled downtime, BetterBiz will use commercially reasonable efforts to restore the Service as quickly as possible and will communicate status updates through our designated status page and email notifications to account administrators.

SLA Credits

If monthly uptime falls below 99.5% in any calendar month, affected customers on GRC Essentials or GRC Enterprise plans may request a service credit equal to 5% of that month's subscription fee for each full 1% of downtime below the target, up to a maximum credit of 30% of that month's fee. SLA credits must be requested within thirty (30) days of the affected month and are applied as credits against future invoices. SLA credits are the sole and exclusive remedy for downtime.

11. Data Security Obligations

BetterBiz takes the security of Customer Data seriously. We implement and maintain administrative, technical, and physical safeguards designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction. These measures include, but are not limited to:

  • Encryption: Customer Data is encrypted in transit using TLS 1.2 or higher and encrypted at rest using AES-256 encryption.
  • Access Controls: Role-based access controls (RBAC) govern access to the Service and Customer Data. BetterBiz personnel access to Customer Data is limited to authorized personnel on a need-to-know basis.
  • Audit Logging: All access to Customer Data and significant system events are logged and retained for audit purposes. Customers with appropriate subscription tiers can access audit logs through the platform.
  • Infrastructure Security: The Service is hosted on enterprise-grade cloud infrastructure with network segmentation, intrusion detection, and regular vulnerability assessments.
  • Incident Response: BetterBiz maintains a documented incident response plan. In the event of a data breach affecting Customer Data, we will notify affected customers within seventy-two (72) hours of confirmation, or as required by applicable law, whichever is sooner.
  • Business Continuity: Regular automated backups are performed, and a disaster recovery plan is maintained and periodically tested.

Customers deploying the Service on-premises under a separate agreement are responsible for the security of their own hosting environment, including infrastructure, network, and physical security controls.

12. Limitation of Liability

The Service is a tool to support your compliance and governance processes. It is not a substitute for qualified legal, regulatory, or compliance advice. You remain solely responsible for ensuring that your organization meets all applicable regulatory requirements, regardless of your use of the Service.

To the maximum extent permitted by applicable law:

  • BetterBiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, arising from or related to your use of the Service.
  • BetterBiz's total aggregate liability for all claims arising out of or related to these Terms shall not exceed the total fees actually paid by you to BetterBiz during the twelve (12) months immediately preceding the event giving rise to the claim.
  • BetterBiz does not guarantee that use of the Service will result in regulatory compliance, successful certification, or favorable audit outcomes. Compliance outcomes depend on many factors outside of BetterBiz's control, including the accuracy of data you provide and the actions you take.

Nothing in these Terms shall limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) willful misconduct; or (d) any liability that cannot be limited or excluded under applicable law.

13. Indemnification

Customer Indemnification

You agree to indemnify, defend, and hold harmless BetterBiz, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Customer Data or any content you provide through the Service; or (d) your breach of any third-party rights.

BetterBiz Indemnification

BetterBiz agrees to indemnify, defend, and hold harmless the Customer from and against any third-party claims that the Service, as provided by BetterBiz, infringes upon any intellectual property rights of a third party, provided that BetterBiz is given prompt notice, sole control of the defense, and reasonable cooperation from the Customer. This indemnification does not apply to claims arising from: (a) modifications to the Service made by or on behalf of the Customer; (b) the Customer's combination of the Service with third-party products; or (c) the Customer's use of the Service after BetterBiz has notified the Customer of the need to cease such use.

14. Termination

Termination by Customer

You may terminate your subscription at any time by providing written notice to BetterBiz at least thirty (30) days before the end of the current billing period. Termination will take effect at the end of the billing period in which notice was given. No refunds will be issued for the remaining portion of a billing period.

Termination by BetterBiz

BetterBiz may terminate or suspend your access to the Service: (a) immediately, if you materially breach these Terms and fail to cure the breach within fifteen (15) days of written notice; (b) immediately, if you engage in activities that pose a security risk to the Service or other customers; (c) if your account remains in payment default for more than thirty (30) days; or (d) with sixty (60) days written notice for any reason, including discontinuation of the Service.

Effect of Termination

Upon termination of your subscription:

  • Your access to the Service will be deactivated at the end of the termination effective date.
  • You will have a period of thirty (30) days following the termination effective date ("Export Period") to export your Customer Data using the platform's export tools or by requesting an export from BetterBiz support.
  • After the Export Period, BetterBiz will delete your Customer Data from active systems within sixty (60) days. Residual copies in backups will be deleted in accordance with our standard backup rotation schedule, not to exceed ninety (90) days.
  • Sections that by their nature should survive termination will remain in effect, including Sections 5 (Customer Data ownership), 6 (AI disclaimers), 8 (IP), 9 (Confidentiality), 12 (Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution).

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of laws principles.

The courts of competent jurisdiction in Bangkok, Thailand shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms, subject to the dispute resolution process outlined in Section 16.

16. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to the following resolution process:

  • Good Faith Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation between senior representatives of each party for a period of thirty (30) days from written notice of the dispute.
  • Mediation: If the dispute is not resolved through negotiation, the parties agree to attempt resolution through mediation administered by a mutually agreed-upon mediator in Bangkok, Thailand, with costs shared equally between the parties.
  • Litigation: If mediation fails to resolve the dispute within sixty (60) days of the mediation request, either party may proceed with litigation in the courts of Bangkok, Thailand as specified in Section 15.

Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction at any time to protect its intellectual property rights or Confidential Information.

17. Changes to Terms

BetterBiz reserves the right to modify these Terms at any time. We will notify you of material changes by email to the address associated with your account and by posting the updated Terms on our website at least thirty (30) days before the changes take effect.

If you do not agree to the modified Terms, you may terminate your subscription before the effective date of the changes. Continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes.

Non-material changes (such as typographical corrections or clarifications that do not alter the meaning of the Terms) may be made without advance notice.
